A. No. One can only perform a "clean install" of Windows 7 if you currently have a non-genuine OEM SLP (System Locked Preinstallation) copy installed.

Yes, you can perform an upgrade in place (aka repair install). In other words, Windows Ultimate is upgradeable to itself.
You must launch Setup from the Desktop. Insert the dvd and click Install Now. Enter your new product key when requested. When you reach the screen that offers Upgrade or Custom Install, choose Upgrade.
You will need to visit Windows Update to get your system up to date. Backup all your files and settings with Windows Easy Transfer just in case and have the Gigabyte drivers disk and your program disks handy in case something goes wrong and you have to reinstall from scratch. You should be fine, though.
The reason Windows is telling you it is not valid is that you apparently used a recovery disk from another computer to install Windows and the motherboard is wrong. The license you are using, OEM SLP, is only valid if it is the factory-installed copy. It cannot be used on another computer or on the same computer with a new motherboard.

Thanks for the help. However, when I tried to do the upgrade, the install failed because it said that the version of Windows I'm running presently is newer than the version I am trying to upgrade to. It closed out.....now what? Any further thoughts? Can I call Microsoft? Do this online?

If you installed SP1 and did not remove the upgrade files you can uninstall SP1 and then it will work. Or you can return the retail copy for an up to date one. If you bought the new copy on eBay then you probably bought a counterfeit anyway. If you bought your retail copy from the Microsoft Store some time ago, then download a new copy. The .iso files are now updated to SP1.

Even if it was an OEM SLP copy he can do an upgrade in place (repair installation) as long as the dvd is at or above the installed service pack level.

An OEM SLP copy cannot be converted to a retail license copy (unless you perform a Windows Anytime Upgrade to another edition). Let me know when you have actually tried to do it.

Carey FrischThat is a totally different ‘explanation’ to the one in your original post.I may be wrong – but I still think it’ll work.I’ll try it later when I reinstall my Vista OEM_SLP drive – in the meantime, I set up a Vista 32-bit VM using an OEM_SLP Key using a Retail disk (so it fails the compliance testing for an OEM_SLP Key) and had no problems changing the Key to the Retail one – I didn’t, however allow it to activate, as I intend to use the same Key on my bare-metal machine.
