Are you serious? I just did a search on this code and this is the answer I found. I just spent four hours getting everything installed and you are telling me that I have to start from scratch? I just stumbled on the "activate windows" by typing it in the search, no icon in the system tray like XP. Forgive me for being a bit angry, but this is the sort of thing that should be spelled out very clearly at the beginning of the install process. There should be no option at all to contiune installing unless there is a prior operating system PERIOD. I was very confused at the beginning of the install and I have been installing MS OS's since 95 first came out. The only way I could be more angry is if I had been running for a month and was told I had to activate and then found I couldn't. If I have a hard drive failure I have to install XP prior to installing Vista? I purchased an OEM copy of MCE05 (to replace my legal copy of XP that came installed in my computer) along with a tuner card for the sole purpose of getting a Vista Home Premium upgrade and am very disappointed. Please tell me that I can enter in one of my two (XP Home and MCE05) product keys and move on. For what I have spent on Windows operating systems for this computer, I could have gotten a full retail version. Please respond to this and let me know how to contact you directly.

I am almost certain that it was the 0xC004C003 code. I will check again tonight to be sure. Still given my situation, shouldn't I be able to do a clean install?
My situation: Dell Dimension 5150 which came with XP home, An OEM version of MCE05 purchased from New Egg with a tuner card so I could use my Xbox360 as a Media Center Extender, Vista Home Premium that was acquired using an upgrade coupon that came with MCE05.
Please let me know if I should be able to do a clean install and I will get back to you once I have confirmed my code tonight. Thank you for your help.

It looks like you will indeed have to reinstall, then.

That's correct. With a retail upgrade you cannot do a clean install. You must upgrade from an existing qualifying OS.
For a business upgrade, I would recommend using a volume edition of Windows Vista. All volume licenses are upgrade only. They were this way with XP as well. However, when you order volume media you can request full install media so you don't have to have XP running on the machine. It is still understood, and you sign off on this, that you have the license for XP for each machine you're doing this with. This also provides the added benefits of volume licensing which include unlimited reimaging rights and ease of deployment.

So I understand: When you have a Vista upgrade, you cannot do a fresh install. Being the IT manager at a small company, you are telling me that if I make the move to upgrade to Vista, I have to have XP running on the machine I intend to upgrade? Meaning if the hard drive then goes bad on that machine, I have to first install XP on the new hard drive in order to install Vista?
You are telling me that the solution to my current problem is to reinstall. More precisely do you mean I need to reinstall XP only to then install Vista over the top of it?
I certainly don't want to put words in your mouth, please tell me if I am understanding this correctly.
