5 any way I try I can't get a validation. I have no reason to think
this is not genuine since I purchased directly from Dell.

Hello Sage,
Please rerun the mgadiag utility. On the Windows tab, click the "Resolve" button. It will run a script that can sometimes clear up the cryptographic problems that your system is experiencing.
After doing that, restart the computer and navigate to this site http://www.microsoft.com/genuine/default.mspx?displaylang=en and click Validate Windows, let it run, restart.

I reran it but on the Windows tab the resolve button was grayed out..on the office tab I noted
I was 100 genuine. Rebooted anyway and tried to validate ---no luck.
I do not know where to go from here. Thanks

In the Diagnostic Report(line: 8) it shows: "Windows License Type: OEM SLP".
This type of license is a version of Windows that can only be installed (legally) on the computer(s) that it was created for (in your case Dells). It knows what kind of computer it is residing on by the specific files on that computer. If those files are corrupt, been modified or are missing, then you start getting the behavior you are experiencing.
In the Diagnostic Report (under "File Scan Data-->") you see:
File Mismatch: c:\windows\system32\oembios.bin
File Mismatch: c:\windows\system32\oembios.dat
File Mismatch: c:\windows\system32\oembios.sigYour version of Windows either can not Read or can not fully Understand these files.
These files can only be repaired/replaced by doing a repair installation with your Dell Recovery media.
