product key failure 0800402c9

Question

I know I have an illegal copy of Windows XP Pro (SP3) installed. I am trying to make it legal. I purchased the Genuine Advantage Kit from Microsoft online for $150 and received an XP Pro Genuine Adv Product Key. I am running the product key update tool as instructed, and get error "Product Key Update Failure" with disk error 0x800402c9. I have run CHKDSK to repair everything (low level scan), I have turned off Windows firewall, and have no anti-virus software installed. I do not want to reinstall Windows again (for the 3rd time today) - Windows is working fine except for illegal key. All I want to do is make my existing installation legal - hence the $150 purchase of a genuine key.
How do I make the Update Tool do what it is supposed to do -- update my Windows with the new valid key? I do not have a valid copy of XP Pro to install. This is a catch-22 situation! I have an illegal copy, I purchased the upgrade kit, and it won't install because I have an illegal copy! Please make my $150 purchase valid.
