downgrade vista ultimate to home premium

  Hi all, I had a vista ultimate cd that i installed on my current laptop which was xp pro before. I'm buying a new dell comp. with vista home premium which i want to upgrade to vista ultimate using that cd. I am planing to use Windows Easy Transfer Companion to copy over my apps and my web codes and so on. Now since new comp is going to be home premium it wont have iis which is ok for a while i get it upgraded i can set that up later on. But is it possible to down grade vista ultimate to home premium so i can use that license on the new machine to upgrade. Any Ideas or any microsoft number i need to call. Thanks

   

  Edit: And is it possible to use this "Windows Easy Transfer Companion" to transfer vista to vista. All examples i see is for xp.
