Windows 7 Upgrade (Digital River purchase) fails validation. Why???

So I've been using this key since January without issue and last month (maybe around June 15) out of nowhere it started giving me issues. First it was updating and then when I had to validate for something it failed. So naturally I "updated" the product key with the same one and it activated successfully. "Yay!" I thought. But it didn't work. After a few futile attempts at using the suggestions of a tech support person at Microsoft, assigned to my case specifically, I gave up and reinstalled Windows figuring it was probably a corrupt file. I reformatted the hard drive, clean installed, and then upgraded from within the clean install just as I'd done before. Now, not three weeks later I'm getting the same behavior. I can activate fine but validation fails. WTF?
Purchase "history": I bought this as part of the Windows 7 program for students back in the fall through Digital River (similar to the Ultimate Steal deal). It is an upgrade license of Win7 Pro.

To resolve the issue, you need to repair the files .
a. System Scan. The scan will look for bad Windows files and will attempt to repair them, if possible. Note: if the damage is too extensive, Windows may not be able to repair.
1) Click the Start Button
2) Type: cmd.exe
3) Right-click the cmd.exe file and select 'Run as Administrator'
4) In the CMD window, type: sfc /scannow
5) Reboot and see if that resolves the issue.
b. Repairing Windows using System Restore:1) Click the Start button
2) In the Start Search field, type: System Restore and hit “Enter”
3) Select "Choose Different Restore Point", Put a check in the box that says "Show restore points older than 5 days", select the restore point that corresponds to the date Before you first noticed the issue.
4) Click the "Next" button.
5) Reboot and see if that resolves the issue.NOTE: The fact that your Windows has corrupt files, even after a recent reinstall, suggests that the files were corrupted during install. Generally, there are two reasons Windows would install with corrupt files.
1) The install media is damaged in some way that causes the corruption during install (however, this seems unlikely since the damage would need to be bad enought to cause corrupt files but not so bad as to prevent the install altogeather)
or
2) There is a hardware issue of some kind. Usually for corruption during install, it would be eithet the Ram or Hard drive that is causing the issue. During install, the disk is read into RAM (so if the RAM is failing, it could inject errors into the data being read into it from the install disk) and then saved to the Hard Drive (so if the hard drive is failing, the data could be saved with errors included or if it has developed bad sectors on the drive platters, then the data would have holes where the data was saved to the bad sectors).
I suggest trying the above repair steps, but if they don't resolve the issue, I then recommend reinstalling again. Right after you are done reinstalling, run the MGA Diagnostic Report again and paste the results into Notepad and look to see if there are any Mismatched or Tampered files listed. If there are, then you know the corruption is occuring during install. At that point, you would just need to narrow down if it's being caused by the Install Media, the RAM or Hard Drive. Unfortunatly, I would not be of much help troubleshooting any hardware issues and I would recommend contacting support, at one of the below URLs, for further assistance.
