It could mean a number of things -
1) You downloaded the wrong bitness - check whether you are running 32-bit or 64-bit Widnows, and which bitness of teh update you downloaded.
2) there are problems with some of the services on your machine
3) There is a problem with .NET on your machine
4) You downloaded the wrong Update
5) something else.
This update is VERY old - it's highly likely that it's really not applicable to your machine, as if you have Service Pack 1 installed, (or Service PAck2) it will already beinstalled.
If you are having problems with Windows Media Player, I suggest that you repost in the more appropriate Windows Community forums here....
