    Afraid not. An upgrade disk does not use an OEM SLP key. A win 7 OEM SLP key requires a windows 7 compliant bios. you don't have one. That is what makes it counterfeit.

    OEM SLP: This key comes pre-installed in Windows, when it comes from the Factory. This key is geared to work with the special instructions found only on that Manufacturer's computer hardware. So when Windows was installed using the OEM SLP key (at the factory) Windows 7 looks at the motherboard and sees the special instructions and Self-Activates. (that's why you did not need to Activate your computer after you brought it home)

  • All Windows 7 Ultimate Anytime Upgrade product keys are "retail" product keys and can only be used to upgrade from another edition of Windows 7.  You need to contact the entity that you acquired your non-genuine product key from and demand a full refund.

    A genuine Windows 7 Anytime Upgrade does not come with any Anytime Upgrade disc.  It comes only with a product key which unlocks the additional features.

    Well, the validity of the license is only with the new PC it was suppose to come with.  If you did not also get the PC, you do not have a valid license. You might as well use the disc as a coaster I'm sorry to say.

    Transfer of License

    Q. Can my customers transfer or sell their OEM software licenses?

    A. After an OEM software license has been installed on a PC,
    the license may not be installed on or transferred to another PC. However, the
    entire PC may be transferred to another end user along with the software license
    rights. When transferring the PC to the new end user, the software media,
    manuals (if applicable), and Certificate of Authenticity label must be included.
    It is also advisable to include the original purchase invoice or receipt. The
    original end user cannot keep any copies of the software.
