The Key in use is an MSDN Key from a not-for-resale MSDN account.
Unless you are an MSDN subscriber, you are not entitled to use the Key – and whoever sold it to you was not entitled to do so.
You need to claim an immediate refund from the vendor - do NOT accept the offer of a new key (all they are trying to do is to get past the 45-day claims window or avoid you sending the evidence of their crimes to the authorities)

The pirates have got VERY good at this over the past few years, as the price of equipment for manufacturing the packages drops, and as factories open in less well-policed countries.

Thanks noel for the response. so even if the key was in a sealed box it can be a counterfiet?Tuesday, February 5, 2013 4:22 PM

Unfortunately, your installed copy of Windows 7 Ultimate is counterfeit. Please feel free to submit a confidential Counterfeit Software Report and you may be eligible to receive a complimentary genuine Windows 7 license directly from Microsoft.

Yes - many are extremely good counterfeits, using materials stolen from the real production lines, or very good copies.
In some cases the only problem is the Key and the packaging, as someone has stolen the legitimate license out of the pack, and replaced it with a counterfeit, prior to putting the package back on the store shelf.
