The installed Key is the Default Key - which can never be activated.
You need to change the Product Key to the one on the COA sticker on the machine's case (or inside the battery compartment), using the Change Product Key link at the bottom of the System properties page.
You may need to activate by phone.

Hello and thank you for the response and assistance.
Computer was a build.....I have the disc....
So i put the old drive in last night as well (old drive win7 32 version)
today pc seems to be downloading updates that it didnt before....older ones/catch up
it doesnt say non genuine at bottom anymore....
did old drive shake hands with new mobo and sys files?
am I golden now?
Oops guess not.....try to do an anytime upgrade and it checks for validation code still need to activate....
Is possible....old drive with old version from same install disc on board....

Your system is not licensed - you are currently in the 30-day 'grace period', using the Default Key, which can never be activated. There appears to be no SLIC table on this machine, so a manufacturer's recovery disk probably wouldn't work.
If you bought this machine with Windows pre-installed, then you need to contact the vendor and demand a refund, unless you can find the COA sticker on the case for Windows 7 Home Pro

Can I not merge a Key File or maybe boot from that drive so the mobo will get wind of it, or would a mobo change cause and require a new purchase?

Unless you have the Key that came with the disk - either on a COA Sticker (which should have been attached to the case) or on a proof of license label in the retail package, then you don't have a license.
That Key is the one that must be entered, and is the only record of your license.

Is it an Upgrade? or a Full Retail? or OEM System Builder? - what are the last five characters in the Key? Is it for Windows 7 Professional?
If it's an Upgrade- then it must have a valid license from which to upgrade - do you have that?
If it's a Full Retail, or OEM System Builder, then you can simply swap the Key in using the option at the bottom of the System Properties page.

Nah - the installed Key is still the Default one.
The usual reason for this type of thing is that you've misread a character in the Key, and so Windows rejects it as invalid before even attempting activation. Get someone else to read the Key off the sticker/label/keycard (preferably using a magnifier) to you as you type it in - this can work wonders.

All I can think of is to try rebuilding the Licensing store - or a repair install..
Recreate the Licensing Store
Go to Start > All Programs > Accessories
Right-Click on Command Prompt and select Run as Administrator - accept the UAC prompt
Run the following commands in the Command Prompt window, using the Enter key at the end of each
net stop sppsvc
(wait until the service has stopped before entering the following lines)
CD %windir%\ServiceProfiles\NetworkService\AppData\Roaming\Microsoft\SoftwareProtectionPlatform
REN tokens.dat tokens.bar
net start sppsvc
slui.exe
After a couple of seconds the Windows Activation dialog will appear.
