Thank you for the encouraging words.
So, it downloaded with no problems, and I've rebooted, but I still get the message on the lower right counting down the days. I also tried SLUI 4 again, but same response, the window just closes. I also typed "activation" in the search, click enter, and it just closed the window.

If so, what error did you get?

Strange! Did you get that as a popup, or as script?.
Please run a full CHKDSK and SFC scan....
type in the Search boxCMD.EXE
right-click on the only file that is found
Select Run as Administrator
- the Elevated Command Prompt window should pop up
At the Command prompt, typeCHKDSK C: /R
and hit the Enter key.
You will be told that the drive is locked,
and the CHKDSK will run at he next boot - hit the Y key, and then reboot.The chkdsk will take a few hours depending on the size
of the drive, so be patient!
After the CHKDSK has run, Windows should boot normally
(possibly after a second auto-reboot) - then run the SFCSFC -System File Checker - Instructions
Click on the Start button
type in the Search boxCMD.EXE

You managed somehow to find an ancient copy of MGADiag (from before Vista was launched, let alone Win7!)- please delete it and use this one... (download and save to desktop - http://go.microsoft.com/fwlink/?linkid=52012 ) - post a new report.
Please also upload a copy (you'll need to first copy the file to your desktop) of the C:\Windows\Logs\CBS\CBS.log file to your public SkyDrive (or other favoured fileshare site) and post a link to it in your reply.

You can't access it directly - you have to copy it to the desktop if you want to play with it at all.
If you're not certain how to do that - try this...
Open a Command Prompt window. and enter the following command
COPY C:\Windows\logs\CBS\CBS.log %userprofile%\Desktop
and it should magically appear on your desktop :) you can then open it to read (don't bother! <g>) or upload it to wherever.

There don't seem to be any changes in the report - so try this....
Please first try recreating the Licensing Store.
Recreate the Licensing Store
1) Click Start button.
2) Type: CMD.exe into the 'Search programs and files' field
3) Right-Click on CMD.exe and select Run as Administrator
4) Type: net stop sppsvc (It may ask you if you are sure, select yes)
Note: the Software Protection service may not be running, this is ok.
5) Type: cd %windir%\ServiceProfiles\NetworkService\AppData\Roaming\Microsoft\SoftwareProtectionPlatform
6) Type: rename tokens.dat tokens.bar
7) Type: cd %windir%\system32
8) Type: net start sppsvc
9) Type: slui.exe
10) After a couple of seconds Windows Activation dialog will appear. You may be asked to re-activate and/or re-enter your product key or Activation may occur automatically.
If you are asked for your Key, use the one on the COA sticker on the machine's caseReboot and Post back with a new MGADiag report

That error is a common one - for some reason the tool wasn't able to save the backup files it created to disk.

That's an interesting error - try this...
Uninstall the WAT Update KB971033 from the Installed Updates listing, then reboot and post a new MGADiag
Reinstall the update using a fresh download from http://support.microsoft.com/kb/971033
and then reboot again and post another one (I'd like to see the difference between the two, if any)
You may find that the non-genuine notification changes or disappears on the first reboot - but please complete teh process anyhow.

So, it downloaded with no problems, and I've rebooted, but I still get the message on the lower right counting down the days. I also tried SLUI 4 again, but same response, the window just closes. I also typed "activation" in the search, click enter, and it just closed the window.

OK, lets try the sledgehammer approach, then!
Please download the CheckSUR tool (64-bit, Win7 version) from here http://support.microsoft.com/kb/947821
Save it, then run it.
It will say 'installing' and could take some time - and then just finish (no successful message).
Once complete, upload the C:\Windows\Logs\CBS\CheckSUR.log and ...\CheckSUR.persist.log files to your public SkyDrive or other favoured fileshare site.
also reboot, and post a new MGADiag report, and the link to your files in your reply.

What previous AV's have been installed on this machine? - including any pre-insalled by teh manufacturer but never activared??

Norton tends to be real tricky at sneaking themselves on your computer,but i only keep the one on. When I try to submit this message a blank box pops up with only "OK". What other AV's have ever been installed on this ssytem, cince the last clean reformat/reinstall? What AV was pre-installed by teh manufacturer?
Have ANY of teh previous AV's expired before being replaced/updated/reinstalled?

Ok - let's make sure that the dregs of McAfee are gone, and not interfering in the processes....
Download the removal tool from:
http://download.mcafee.com/products/licensed/cust_support_patches/MCPR.exe
Click Save, and save the file to a folder on your computer.
Close all applications.
Navigate to the folder where you saved the file.
right-click on MCPR.exe and select 'Run as Administrator' to run the removal tool.

well, before after typing in SLUI 4 and no matter what i pushed the window would disappear. It has always shown it as 1 program, but now i can right click it, so I explored a little. A couple of things stood out for me to question.
The file is Windows Activation Client, opens in file system 32, type .exe
created 4-01-11
modified 11-20-10
accessed 4-01-11
i dont understand how it can be modified before it was created?
Also under compatibility it says for Windows 2008 (service pac 1)
but it was all ghosted so you cant change anything, except you can troubleshoot to try and change the compatibility, but from what comes up SLUI 4 doesn't exist.....
I don't know if this has anything do do with anythng......?

Open an elevated command prompt window and run the following commands

copy and paste the results to your reply -
Here are some instructions to make life easier :)
1) To open an Elevated Command Prompt Window (the CP window), click on Start, All Programs, Accessories – then right-click on Command Prompt, and select Run as Administrator. Accept the UAC prompt.
2) To run the commands easier, highlight the block of commands, and right-click on the highlight – select Copy. In the CP Windows, click on the black/white icon at top left – select Paste. The commands will run but may not complete the last command, so hit the Enter Key once.
3) To copy the results... click on the Black/White icon in the top left, and select Edit... 'Select All', and hit the Enter key - then use Ctrl+V or r-click+Paste to paste it into your response.

OK - Open Windows Explorer, and find the C:\Windows\System32\slui.exe file
right-click on it, and select Properties.
Click on the Compatibility tab
You're saying that Compatibility mode is switched on? - i.e. there's a tick in at least one of the boxes on that page?
90% of the content on that page should be greyed out, and none of the boxes should be ticked. I can't even find a way to set a compatibility mode for it.

Oh - the creation/modification dates are simple - from my records, I think that the creation date is the date on which Sevice Pack 1 was installed, while the modification date is when MS last edited the file

I came across a site that shows how to bypass Windows Genuine Advantage Notification. What is your advice about doing that? And just because the notification is shut off, does that stop the actions of not having Windows Genuine?

Disabling the WGA processes is against the terms of your License from Microsoft.
It may also leave your system open to unexpected results, and reduce security - not to be recommended.
I think we've got to the point now where the next step is to attempt a repair install. You say that this is an Upgrade to Ultimate - did you get a full Upgrade, or an Anytime Upgrade - and if the former, did it come with SP1 embedded?

Doesn't matter anyhow - an Anytime Upgrade is diskless.
I have to get confirmation that it's possible to do a repair install with an AU Key, so hang fire for the moment - back tomorrow

Word is that it's not a problem (and it happens to be from someone with similar history to yours, so that's a good sign!).
Download the SP1 Refresh for your language and edition from the links on these pages...

The links are for downloads from the Digital River servers run for MS, so are about as safe as you can get :)
Once you have it downloaded, you then need to burn the DVD from it - use either the Windows Disk Image Burner, or (better still) your favourite burning application at the slowest speed possible.
Note that you do NOT 'drag and drop' the file to the disk, you must use the 'burn an image' option from your app - or you'll end up with a useless coaster :)
Once you have the disk burnt, check that it boots the (or any other) system OK - but do NOT start the repair from there - you must start the repair from within a normal Windows boot.
Follow the instructions in this tutorial - http://www.sevenforums.com/tutorials/3413-repair-install.html?ltr=R - and they should help you get through it (it's not as difficult as it looks!)
Always ask questions first if you're unsure - either here, or in sevenforums.

Actually, every time i go to that page i get so overwhelmed with anxiety I've avoided my computer. And that's jut reading through the do and don't do. I don't think I'd have a problem following the directions, it's just what set of directions to follow. I could just pay someone to do it.... but i do like the challenge of doing it my self.....with guidance.

Believe me - the doing is a lot easier than the reading :)
Brink's instructions try to cover all eventualities, so they do get complex, but all you need to do is start at the beginning, and follow through - if an instruction doesn't apply, then move on to the next. If at any point you get stuck, post a question.
