i had the problem of sp2 hanging at the "checking product key" point. after some time searching several forums i solved the problem like this...
you will find on several forums, the solution is to do this:
1) Please go into the CMD prompt (Start/Run --> cmd.exe )
2) Then type cd /d %windir%\inf and make sure we are in that
> directory.
3) Then type ren oem*.inf oem*.old, it will go back to the prompt
> after giving you some error (Do not worry about it)
4) Then type ren oem*.pnf oem*.old1, it will go back to the prompt
> after giving you some error (Do not worry about it)
5) Then goto start - run - type "%windir%\inf" and you will see
> the files in the folder.
6) Then find the file by name INFCACHE.1 and take a backup of it
> to desktop (by copying it to desktop) and delete the INFCACHE.1
> from c:\windows\inf.
7) Close all windows and reboot the computer to safe mode and
> start the installation of SP2 and it should go fine.
these instructions didn't work from me since i downloaded the sp2 pack and didn't have the cd.
so you just modify the instructions...
1) start -> run -> cmd.exe
2) type %windir%\inf (folder will pop up)
3) find all the files in that folder named oem whatever (e.g. oem1.pnf, oem1.inf, oem2.pnf, oem2.inf, etc)
4) drag all of those files to your desktop (i had 38 of them)
5) find infcache.1 and drag to your desktop
6) reboot and your installation should finish (mine did)
7) replace all the files back to the %windir%\inf folder

Step 2 is to look on the computer or with the materials you received with the computer or with your retail purchase of Windows to see if you have a Certificate of Authenticity (COA). If you have one, tell us about the COA. Tell us:
1. What edition of Windows XP is it for, Home, Pro, or Media Center, or another version of Windows?
2. Does it read "OEM Software" or "OEM Product" in black lettering?
3. Or, does it have the computer manufacturer's name in black lettering?
4. DO NOT post the Product Key.

Instead of creating a redundant thread, I thought I would try posting here first. I am having similar problems with installing XP SP2. I had to reformat my hard drive due to a virus, and reinstalled using Windows XP Home. The installation stops when it gets to the checking product key part. The product key came from the COA sticker attached to the computer (Toshiba laptop). It has Toshiba's name on it (does not read OEM software or OEM Product on it). I ran the utility as suggested above...following is the report (says my copy is Genuine--I took out the product key info). I appreciate any help you can give me with this problem!

I FIGURED IT OUT....
In my case I had to download XP SP2 and ‘SAVE’ the file to my desktop as I could not get online to download and ‘run’ the update (IE Fails in ‘Safe Mode’ on my laptop at this point. To get online, I clicked on ‘Windows Update’ which opens up a browser that could at least get me to the Microsoft Support page where I could get the SP2 download. The support page is not that good but I could get to google and a search for ‘download xp sp2’ got me the link I needed to the page on the Microsoft Support site). This was done BEFORE starting the suggested fix, running XP in ‘<st1:place w:st="on">Normal</st1:place>’ mode.
Then for instruction #7, I just started XP normally and was able to run the XP SP2 Update that I had saved to my desktop.
I did follow all of the other instructions given in the suggested fix. The above applies to the suggested fix below:
There are 3 steps which we have to do to get the SP2 installed.
Steps are:

7) Close all windows and reboot the computer to safe mode and start the installation of SP2 and it should go fine.After doing the above I checked the %windir%\inf folder and it had a new INFCACHE.1 file, so I deleted the copy of the old folder that I had copied to my desktop (I assume that making the copy was just a precaution in case I had to abort the fix). After getting SP2 on the laptop I had no problem getting SP3 on the machine through the support webpage.
