Hi,
Follow the steps:
1. Install CRM 2011 as mentioned in the following Url: http://social.technet.microsoft.com/wiki/contents/articles/how-to-install-microsoft-dynamics-crm-2011.aspx
2. Restore CRM4.0 Organization database into CRM 2011 SQL Server
3. Run CRM Deployment Manager and Import Organization and choose CRM 4.0 database , you may also refer: http://crmbusiness.wordpress.com/2011/03/01/crm-2011-importing-a-crm-4-organisation-into-crm-2011/

Hi,
Dynamics CRM 2011 Workgroup edition have a limit of 5 CALs (Users) and single organization and refer to the steps below for importing CRM 4.0 database into CRM 2011:
In the CRM 4.0 SQL Server
1.Back up the 4.0 organization database (the one with the _MSCRM after it), to a .bak file on disk.
In the CRM 2011 SQL Server
1. Restore the .bak file to it
In the CRM 2011 Deployment Manager
1.Run the Import Organization wizard
2.Import the SQL database you restored in the previous step3. During User Mapping choose Keep Exsisting User Mapping (becuase your domain is same)
