I believe you will need to first import it into a CRM Online Environment, then export it and then use this KB to process the file for import into CRM OnPremise http://support.microsoft.com/kb/976978
There are 'things' in the CRM Online environment that don't work in the CRM On premise environment.

Check out the Moving customizations from Online to On-Prem article:

Now I am getting this error while importing the customization file
Error:Failure: campaignresponse: A SQL Server error occurred. Try this action again. If the problem continues, check the Microsoft Dynamics CRM Community for solutions or contact your organization's Microsoft Dynamics CRM Administrator. Finally, you can contact Microsoft Support.
Warning: systemuser: The systemuser entity was imported, but customized forms for the entity were not imported. Systemuser entity forms from Microsoft Dynamics CRM Live cannot be imported into on-premises or hosted versions of Microsoft Dynamics CRM.
Any body has any idea about this error?

Try importing your customizations but exclude the User entity. The User entity in CRM Online has different attributes from On-Premise. Attributes such as Windows Live ID v. Domain Login Name, and License Type.Wednesday, July 21, 2010 5:12 PM

Some of our guys managed to do it internally but it was a struggle. My understanding was the xml contans visualisations and these need to be removed before it will work (that pesky divergent code base!)
