    I am trying to study for the 70-523 exam but there are no prep materials - not good!

    The upgrade exams from .Net 3.5 to 4.0 are basically a summary of the questions contained in the various exams that make up that 4.0 certification. So, in order to prepare for 70-523, you need to study the preparation materials for 70-513, 70-515, 70-516,  and 70-519. Some of these have few preparation materials themselves. You can use the materials from version 3.5 (which you already know, since you are upgrading your skills from that version) and then check out the "skills measured" page in the exam description for each exam to find out what "new" skills are required. Next, use the MSDN web site to find documentation for those individual entries, and study that documentation.
